Terms of Service

These Terms of Service govern the rights and obligations between BACODO and the Customer when using BACODO's services, including scope, payment, revisions, and intellectual property.

These Terms of Service ("Terms") govern the rights and obligations between BACODO, a brand operated by Công ty Trách nhiệm hữu hạn Kỹ thuật số Lê Sa, a Vietnamese limited liability company ("BACODO", "the Company", "we"), and the customer ("Customer", "you") when using the services provided by BACODO.

Requesting a quote, confirming the use of services, signing a contract, accepting a proposal, or making any payment constitutes acknowledgment that the Customer has read, understood, and agreed to be bound by these Terms.

1. Scope of Services

BACODO provides services including, but not limited to:

  • Website Design
  • Web Application Development
  • Mobile Application Development
  • UI/UX Design
  • CMS Development
  • API Integration
  • AI Integration
  • SEO Optimization
  • System Maintenance and Upgrades
  • Software Solution Consulting

The specific scope of work will be defined in a Quote, Project Proposal, Statement of Work (SOW), or other document confirmed in writing by both parties.

2. Scope of Work

BACODO will only perform the items agreed upon by both parties.

Any additional request outside the original scope will be treated as a Change Request and may result in additional cost and timeline, and must be confirmed by the Customer before being carried out.

3. Payment Terms

For projects valued under $2,000 USD

  • 50% payment to start the project.
  • The remaining 50% before source code handover and go-live.

For projects valued at $2,000 USD or more

  • 30% payment to start the project.
  • 40% payment upon completion of the agreed milestone.
  • The remaining 30% before source code handover and go-live.

All payments are made in United States Dollars (USD), unless otherwise agreed in writing.

BACODO reserves the right to pause or stop project delivery if the Customer falls behind on the agreed payment schedule.

4. Deposit

The deposit is used to:

  • reserve the development team's schedule;
  • analyze requirements;
  • provide solution consulting;
  • design the system;
  • build the software architecture;
  • design the interface;
  • manage the project;
  • begin the development process.

Once BACODO has begun work on the project, the deposit is non-refundable.

If the Customer voluntarily cancels the project after work has begun, BACODO reserves the right to retain the entire deposit to cover the personnel cost, time, and resources already allocated to the project.

5. Customer Responsibilities

The Customer is responsible for:

  • Providing complete project requirements.
  • Providing logos, content, images, and other necessary materials.
  • Ensuring that all materials provided are legally owned or properly licensed for use.
  • Responding to BACODO's requests within a reasonable time.
  • Reviewing and confirming delivered items.

BACODO is not responsible for delays resulting from the Customer providing incomplete information or failing to respond in a timely manner.

6. Project Timeline

The delivery timeline is built around the Customer's cooperation and timely responses.

If the Customer does not respond or fails to provide necessary materials for 14 consecutive days, BACODO reserves the right to pause the project.

If there is no response from the Customer for 60 consecutive days, BACODO reserves the right to close the project.

Restarting the project after this period may incur additional costs to re-schedule delivery and set a new timeline.

7. Revisions

BACODO performs revisions to content within the agreed scope.

Requests to add functionality, change business processes, add screens, integrate new systems, or change the system architecture are not considered revisions and will instead be handled through the Change Request process.

8. Change Requests

Any request outside the original scope will be re-evaluated by BACODO for:

  • cost;
  • time;
  • scope of impact.

BACODO will only carry out these requests after the Customer approves them in writing.

9. Acceptance

After each phase, or the full project, is delivered, the Customer has 7 days to review and provide written feedback.

If BACODO does not receive a response within this period, the delivered item will be considered accepted by the Customer.

10. Project Cancellation

The Customer may cancel the project at any time.

If the project has already begun:

  • The deposit is non-refundable.
  • Completed work phases must be paid in full.
  • BACODO reserves the right to deliver items corresponding to the payment already received.
  • Phases that have not been carried out will not be charged.

BACODO reserves the right to terminate the engagement if the Customer engages in fraud, invalid payment, unlawful requests, or abusive or threatening behavior toward the Company's staff.

11. Intellectual Property

All platforms, libraries, frameworks, templates, components, AI systems, CMS, automation tools, development processes, technical documentation, and technology assets developed by BACODO prior to or outside the scope of the project remain the exclusive property of Công ty Trách nhiệm hữu hạn Kỹ thuật số Lê Sa.

Once the Customer has fulfilled all payment obligations, BACODO will transfer the rights to use and own the software developed specifically for the Customer's project, excluding technology assets owned by BACODO.

12. Source Code Handover

BACODO will only hand over source code, admin accounts, deployment accounts, and technical documentation after the Customer has fulfilled all payment obligations.

13. Third-Party Services

The project may use third-party services during development, such as:

  • Cloudflare
  • AWS
  • Vercel
  • Google
  • Apple
  • Microsoft
  • Stripe
  • PayPal
  • Firebase
  • Supabase
  • Zoho
  • OpenAI
  • Anthropic
  • Gemini

BACODO is not responsible for incidents, policy changes, API changes, discontinued service, or outages from these platforms.

14. Warranty

Unless otherwise agreed in writing, BACODO warrants technical defects in work it developed for 30 days from the date of acceptance.

The warranty does not cover:

  • requests for new features;
  • changes to business processes;
  • changes requested by the Customer;
  • changes from third-party service providers;
  • changes to the server environment;
  • errors resulting from the Customer or another party modifying the source code.

15. Confidentiality

BACODO is committed to keeping the Customer's information, data, documents, and source code confidential.

BACODO will not disclose this information to third parties, except with the Customer's consent or as required by a competent authority under applicable law.

16. Right to Showcase Projects

Unless a separate non-disclosure agreement (NDA) is in place, BACODO reserves the right to use the project name, interface images, and project description of completed work in its portfolio, website, or marketing materials.

17. Limitation of Liability

To the extent permitted by law, BACODO is not liable for indirect damages such as loss of revenue, loss of profit, loss of data, or business interruption.

BACODO's total liability for any claim arising from the project will not exceed the total amount actually paid by the Customer for that project.

18. Force Majeure

BACODO is not responsible for delays or failure to perform its obligations due to events beyond its reasonable control, such as natural disasters, war, pandemics, cyberattacks, widespread power outages, Internet outages, actions by government authorities, or incidents caused by third-party service providers.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of Vietnam.

Any disputes arising will be resolved in the courts of competent jurisdiction in Vietnam, unless the parties agree otherwise in writing.

20. Changes to These Terms

BACODO reserves the right to modify or update these Terms at any time.

The new version will take effect from the time it is published on BACODO's website.

Continued use of the services after the Terms are updated constitutes acceptance of those changes.
